２　信託会社が信託業務を次に掲げる第三者（第一号又は第二号にあっては、株式の所有関係又は人的関係において、委託者と密接な関係を有する者として政令で定める者に該当し、かつ、受託者と密接な関係を有する者として政令で定める者に該当しない者に限る。）に委託したときは、前項の規定は、適用しない。ただし、信託会社が、当該委託先が不適任若しくは不誠実であること又は当該委託先が委託された信託業務を的確に遂行していないことを知りながら、その旨の受益者（信託管理人又は受益者代理人が現に存する場合にあっては、当該信託管理人又は受益者代理人を含む。第三号、第二十九条の三及び第五十一条第一項第五号において同じ。）に対する通知、当該委託先への委託の解除その他の必要な措置をとることを怠ったときは、この限りでない。例文帳に追加
