(5) If the General Partner makes a distribution in kind pursuant to paragraph (3) of this Article, the General Partner shall request the Partners who are entitled to such distribution in kind to elect to either (A) receive the Portfolio Securities to be distributed in kind or (B) request to the General Partner the disposition of all or part of such Portfolio Securities and to receive the proceeds of such disposition, no later than [_] days prior to the Reference Date.
