In this case, the phrase "the settlement of accounts (or, in cases where the provisions of the preceding paragraph apply, the settlement of accounts approved under that paragraph) to the shareholders meeting" in Article 507(3) of the Companies Act shall be deemed to be replaced with "the settlement of accounts (those audited as prescribed in Article 177(2) of the Asset Securitization Act) at the general meeting of members," the phrase "A Liquidator (or, for a Company with Board of Liquidators, the liquidators listed in each item of paragraph (7) of Article 489)" in Article 508(1) of the Companies Act shall be deemed to be replaced with "A liquidator," and any other necessary technical replacement of terms shall be specified by a Cabinet Order.

Article 26 (1) Follow-up medical examination benefits shall be paid to a worker, based on his/her claim, where said worker has, in his/her most recent medical examination conducted under the provision of Article 66, paragraph (1) of the Industrial Health and Safety Act (Act No. 57 of 1972) or a medical examination pertaining to said medical examination conducted under the provision of the proviso to paragraph (5) of said Article (hereinafter referred to as an "initial medical examination" in this paragraph), undergone blood pressure tests or blood tests or other tests concerning physical conditions related to the occurrence of a cerebrovascular disease or heart disease resulting from an employment-related cause, which are specified by an Ordinance of the Ministry of Health, Labour and Welfare, and said worker who has undergone these tests is diagnosed as showing abnormalities in the findings for all items in those tests (excluding workers who, based on the results of said initial medical examination or for other reasons, are found already to have symptoms of cerebrovascular disease or heart disease).

(3) Where an application for the permission under Article 9 has been filed in which case the term of existence of a Member Commodity Exchange or the expiration date of a Commodity Market is included in the articles of incorporation, the competent minister shall, in lieu of the criterion set forth in paragraph (1), item (i), consider the criterion under the same paragraph to be that there will be no shortfall in the volume of transactions for carrying out Futures Transactions of the Listed Commodity or Listed Commodity Index pertaining to the application fairly and smoothly and that, in light of the status of the transactions of the Listed Commodity Component Products, etc., establishment of a Member Commodity Exchange for carrying out said Futures Transactions does not or is not likely to cause extreme hindrance to the production and distribution of the Listed Commodity Component Products, etc., and he/she shall apply such criterion and the criteria under items (ii) and (iii) of the same paragraph by making a determination for said term of existence or for the period until said expiration date.

(8) Where there is any amount included in the gross profits pursuant to the provisions of Article 66-6(1) of the Act for calculating the amount of income for the relevant business year of a domestic corporation listed in the items of the said paragraph, the said amount included in gross profits shall be included in the foreign income prescribed in the main clause of Article 142(3) of the Order for Enforcement of the Corporation Tax Act for calculating the maximum amount of deduction prescribed in Article 69(1) of the Corporation Tax Act for the relevant business year of the said domestic corporation; provided, however, that in the case where the state of the head office of a specified foreign subsidiary company, etc. related to the domestic corporation is a state or territory that does not impose any foreign corporation taxes prescribed in Article 141(1) of the said Order on income of the said specified foreign subsidiary company, etc., the amount to be included in the said foreign income shall be the amount equivalent to one-third of the said amount included in the gross profits.

(3) In the case where a consolidated corporation, which is a specially-related shareholder, etc. prescribed in Article 68-93-8(1) of the Act, holds the individually taxed amount of retained income prescribed in the said paragraph that pertains to a specified foreign corporation related to the said consolidated corporation, and the individually taxed amount of retained income prescribed in Article 68-92(1) of the Act that pertains to a specified foreign subsidiary company, etc. prescribed in Article 68-90(1) of the Act (limited to a foreign corporation that is the same as the said specified foreign corporation) related to the said consolidated corporation, the amount calculated as specified by a Cabinet Order prescribed in Article 68-93-8(1) of the Act shall not exceed the amount calculated pursuant to the provisions of the preceding paragraph based on the remaining amount after deducting the amount to be included in deductible expenses pursuant to the provisions of Article 68-92(1) of the Act from the amount specified in the items of Article 68-93-8(1) of the Act.

(5) The juridical person who was established pursuant to the provision of Article 34 of the Civil Code and actually carries on the specified insurance business at the time when this Act enters into force and being listed in the items of paragraph (1) (excluding the person having the registration set forth in Article 272, paragraph (1) of the New Insurance Business Act; hereinafter referred to as "Transferred Juridical Person" in this Article.) can manage the business and property pertaining to the insurance contract that the person underwrote before the day of the Public-Interest Corporation Transfer Register or General Incorporated Association etc., Transfer Register (hereinafter, named generically as "Transfer Register" in this Article) notwithstanding the provision of Article 3, paragraph (1) of the New Insurance Business Act for a period of one year counting from the day of the Transfer Register (or until the day of which the Prime Minister designates when he/she recognizes that there are compelling reasons not to be able to transfer the following insurance contract and the entrustment pertaining to the management of the business and property).
5 この法律の施行の際現に特定保険業を行っていた民法第三十四条の規定により設立された法人であって第一項各号に掲げるもの(新保険業法第二百七十二条第一項の登録を受けている者を除く。以下この条において「移行法人」という。)は、公益法人移行登記又は一般社団法人等移行登記(以下この条において「移行登記」と総称する。)をした日から起算して一年を経過する日までの間(次項の保険契約の移転並びに保険契約に係る業務及び財産の管理の委託を行うことができないことについて内閣総理大臣がやむを得ない事由があると認めるときは、内閣総理大臣の指定する日までの間)は、新保険業法第三条第一項の規定にかかわらず、移行登記をした日前に引き受けた保険契約に係る業務及び財産の管理を行うことができる。 - 日本法令外国語訳データベースシステム
(19) The term "Daily Life Long-Term Care for a Person Admitted to a Community-Based Specified Facility" as used in this Act means to provide care for bathing, bodily waste elimination, meals, etc., and for other daily activities as determined by an Ordinance of the Ministry of Health, Labour, and Welfare, functional training and medical care based on a plan that stipulates the content of services to be provided by said Community-Based Specified Facility, the personnel in charge of the services, and other items as determined by an Ordinance of the Ministry of Health, Labour, and Welfare. This service is provided to a Person Requiring Long-Term Care who is staying in a Fee-Based Home for the Elderly and other facilities as determined by an Ordinance of the Ministry of Health, Labour, and Welfare as set forth in paragraph (11) of this Article and for which the capacity of the fixed number of said residents is twenty-nine (29) or less (hereinafter referred to as "Community-Based Specified Facility"), among facilities for which residents are limited to a Person Requiring Long-Term Care, said person's spouse, and other personnel as determined by an Ordinance of the Ministry of Health, Labour, and Welfare (herein referred to as a "Specialized Long-Term Care Specified Facility").

Article 12 (1) Concerning research results related to the technologies of those national research and development institutes stipulated by Cabinet Orders (hereinafter referred to as "Specified Research and Development Institutes"), a person who has received assignment of nationally-owned patent right or right to receive a patent, or nationally-owned utility model right or right to receive registration of a utility model related to said research results, and who is engaged in the operation of transferring said research results to private business operators who intend to utilize these research results, through assignment or the establishment of exclusive licenses of patent, obtained based on said patent right itself or right to receive said patent, or utility model rights obtained based on the utility model right itself or right to receive registration of said utility model, or otherwise, may apply to the Minister having jurisdiction over the said Specified Research and Development Institute and receive an accreditation to the effect that the operation of that person conforms to all of the following items.

(9) Notwithstanding the provisions of items (ii) and (iii) of the preceding paragraph, [(i)] if the General Partner, in its good faith determination, recognizes that the payment of the applicable amount results in rendering an unfair ratio of a Subsequent Partner’s interest in a Portfolio Investment because of material changes in the value of such Portfolio Investment [If an Excuse/Exclusion clause is included] [, or if the General Partner reasonably determines that the participation by a Subsequent Partner in the Portfolio Investment is inappropriate because of any circumstance set forth in Article 9], the General Partner may exclude such Subsequent Partner from participation in the Portfolio Investment, and (ii)] if the Partnership made distributions pursuant to Article 29 before the Subsequent Closing Date, the General Partner may adjust the amount to be paid by such Subsequent Partner as the General Partner considers to be appropriate in its discretion.
9. 前項第②号及び第③号の規定にかかわらず、[(ⅰ)無限責任組合員が、その誠実な判断により、かかる金額の支払いが、ポートフォリオ投資について生じた重大な価値の変動のため、追加出資組合員の当該ポートフォリオ投資に関する持分割合が不公正なものとなると認める場合【免除/除外条項を設ける場合】[又は、第9 条に掲げる状況に該当するため追加出資組合員が当該ポートフォリオ投資へ参加することが適切でないと同条の規定に準じて無限責任組合員が合理的に判断する場合]には、無限責任組合員は、当該追加出資組合員を、当該ポートフォリオ投資への参加から排除することができ、(ⅱ)]追加クロージング日までに、本組合が第29 条に従い既に分配を行っていた場合には、無限責任組合員は、当該追加出資組合員が払い込む額に、その裁量により適切と考える調整を加えることができるものとする。 - 経済産業省
(3) Where an application for the permission under Article 9 has been filed in which case the term of existence of a Member Commodity Exchange or the expiration date of a Commodity Market is included in the articles of incorporation, the competent minister shall, in lieu of the criterion set forth in paragraph 1, item 1, consider the criterion under the same paragraph to be that there will be no shortfall in the volume of transactions for carrying out Futures Transactions of the Listed Commodity or Listed Commodity Index pertaining to the application fairly and smoothly and that, in light of the status of the transactions of the Listed Commodity Component Products, etc., establishment of a Member Commodity Exchange for carrying out said Futures Transactions does not or is not likely to cause extreme hindrance to the production and distribution of the Listed Commodity Component Products, etc., and he/she shall apply such criterion andthe criteria under items 2 and 3 of the same paragraph by making a determination for said term of existence or for the period until said expiration date.

三 この法律、会社法若しくは一般社団法人及び一般財団法人に関する法律(平成十八年法律第四十八号)の規定に違反し、又は金融商品取引法第百九十七条(有価証券届出書虚偽記載等の罪)、第百九十七条の二第一号から第十号まで若しくは第十三号(有価証券の無届募集等の罪)、第百九十八条第八号(裁判所の禁止又は停止命令違反の罪)、第百九十九条(報告拒絶等の罪)、第二百条第一号から第十二号まで、第二十号若しくは第二十一号(訂正届出書の不提出等の罪)、第二百三条第三項(金融商品取引業者等の役職員に対する贈賄罪)若しくは第二百五条第一号から第六号まで、第十九号若しくは第二十号(特定募集等の通知書の不提出等の罪)の罪、金融機関等の更生手続の特例等に関する法律(平成八年法律第九十五号)第五百四十九条(詐欺更生罪)、第五百五十条(特定の債権者等に対する担保の供与等の罪)、第五百五十二条から第五百五十五条まで(報告及び検査の拒絶等の罪、業務及び財産の状況に関する物件の隠滅等の罪、管財人等に対する職務妨害の罪)若しくは第五百五十七条(贈賄罪)の罪、民事再生法(平成十一年法律第二百二十五号)第二百五十五条(詐欺再生罪)、第二百五十六条(特定の債権者に対する担保の供与等の罪)、第二百五十八条から第二百六十条まで(報告及び検査の拒絶等の罪、業務及び財産の状況に関する物件の隠滅等の罪、監督委員等に対する職務妨害の罪)若しくは第二百六十二条(贈賄罪)の罪、外国倒産処理手続の承認援助に関する法律(平成十二年法律第百二十九号)第六十五条(報告及び検査の拒絶等の罪)、第六十六条(承認管財人等に対する職務妨害の罪)、第六十八条(贈賄罪)若しくは第六十九条(財産の無許可処分及び国外への持出しの罪)の罪若しくは破産法(平成十六年法律第七十五号)第二百六十五条(詐欺破産罪)、第二百六十六条(特定の債権者に対する担保の供与等の罪)、第二百六十八条から第二百七十二条まで(説明及び検査の拒絶等の罪、重要財産開示拒絶等の罪、業務及び財産の状況に関する物件の隠滅等の罪、審尋における説明拒絶等の罪、破産管財人等に対する職務妨害の罪)若しくは第二百七十四条(贈賄罪)の罪を犯し、刑に処せられ、その執行を終わり、又はその執行を受けることがなくなった日から二年を経過しない者 - 日本法令外国語訳データベースシステム
Article 300-2 The provision of Chapter III, Section 1, Subsection 5 (excluding Article 34-2, paragraphs (6) to (8) inclusive (Cases Where a Professional Investor Will be Deemed to be a Customer Other than Professional Investor) and Article 34-3, paragraphs (5) and (6) (Cases Where a Juridical Person who Is a Customer Other Than Professional Investor Will Be Deemed to Be a Professional Investor)) (Professional Investor) and Article 45 (excluding items (iii) and (iv)) (Miscellaneous Provision) of the Financial Instruments and Exchange Act shall apply mutatis mutandis to the conclusion of a specified insurance contract (meaning an insurance contract specified by a Cabinet Office Ordinance as entailing the risk of loss due to any change in interest rates, currency values, financial instruments market prices as set forth in Article 2, paragraph (14) of that Act or any other indicator (meaning the risk that the total amount of insurance premiums to be paid by the customer following the conclusion of the insurance contract may exceed the total amount of insurance claims, reimbursements and other benefits to be paid out to the customer following the conclusion of the contract); hereinafter the same shall apply in this Article) effected by an Insurance Company, etc. or Foreign Insurance Company, etc., or a contract stipulating any specific act as an intermediary for the benefit of a customer in concluding a specified insurance contract; the provision of Section 2, Subsection 1 of the same Chapter (excluding Article 35 to 36-4 inclusive (Scope of Business for Persons Who Engage in Type 1 Financial Instruments Transaction Business or Investment Management Business, Scope of Subsidiary Businesses of Persons Who Only Engage in Type II Financial Instruments Business or Investment Advisory and Agency Business, Duty of Good Faith to Customers, Posting of Signs, Prohibition of Name-Lending and Prohibition of Administration of Company Bonds, etc.), Article 37, paragraph (1), item (ii) (Regulation of Advertising, etc.), Article 37-2 (Obligation to Clarify Conditions of Transactions in Advance), Article 37-3, paragraph (1), items (ii) and (vi) and Article 37-3, paragraph (3) (Delivery of Document Prior to Conclusion of Contract), Article 37-5 (Delivery of Document Pertaining to Receipt of Security Deposit), Article 37-6 (Cancellation by a Written Statement), Article 38, items (i) and (ii) and Article 38-2 (Prohibited Acts), the proviso of Article 39, paragraph (3) and Article 39, paragraph (5) (Prohibition of Loss Compensation, etc.), Article 40-2 (Best Execution Policy, etc.), and Article 40-3 (Prohibition of Sales and Purchase, etc. Where Separate Management Is not Ensured) (General Rules)) shall apply mutatis mutandis to the conclusion of a specified insurance contract by an Insurance Company, etc., Foreign Insurance Company, etc., Insurance Solicitor or Insurance Broker and related act as an agent or intermediary. In this case, the terms "financial instruments transaction contract" and "financial instruments transaction business" in those provisions shall be deemed to be replaced with "specified insurance contract, etc.," and "the conclusion of a specified insurance contract, or any related act as an agent or intermediary," respectively; in Article 34 of that Act, the term "contract to conduct Acts of Financial Instruments Transaction (meaning acts listed in the items of Article 2, paragraph (8); the same shall apply hereinafter) with a customer as the other party or on behalf of a customer" shall be deemed to be replaced with "effecting a specified insurance contract (meaning a specified insurance contract provided in Article 300-2 of the Insurance Business Act; the same shall apply hereinafter) or acting as an intermediary for the benefit of a customer in concluding a specified insurance contract"; in Article 37, paragraph (2) of that Act, the term "carrying out Financial Instruments and Exchange Activities" shall be deemed to be replaced with "concluding specified insurance contracts"; in Article 37-3, paragraph (1) of that Act, the term "when it intends to conclude a financial instruments transaction contract" shall be deemed to be replaced with "when it intends to conclude a financial instruments transaction contract or acts as an agent or intermediary in concluding a specified insurance contract" and the term "the following matters" with "the following matters and any other important matter stipulated by an insurance contract provided in Article 300, paragraph (1), item (i) of the Insurance Business Act"; in Article 37-3, paragraph (1), item (i) of that Act, the term "Financial Instruments Business Operators, etc." shall be deemed to be replaced with "Insurance Company, etc. (meaning an Insurance Company, etc. as defined in Article 2-2, paragraph (1) of the Insurance Business Act), Foreign Insurance Company, etc. (meaning a Foreign Insurance Company, etc. as defined in Article 2, paragraph (7) of that Act) or Insurance Broker (meaning an Insurance Broker as defined in paragraph (25) of the same Article) concluding a specified insurance contract, etc."; in Article 37-3, paragraph (1), item (v) of that Act, the term "financial instruments transaction business carried out" shall be deemed to be replaced with "specified insurance contract concluded"; in Article 38, paragraph (1) of that Act, the term "employee" shall be deemed to be replaced with "employee (excluding an Insurance Solicitor as defined in Article 2, paragraph (23) of the Insurance Business Act; the same shall apply in Article 39, paragraph (3))"; in Article 39, paragraph (1), item (i) of that Act, the term "sales and purchase and any other transaction of Securities (excluding sales and purchase on condition of repurchase for which the repurchase price is set in advance and other transactions specified by a Cabinet Order) or of Derivative Transactions (hereinafter referred to as "Sales and Purchase or Other Transaction of Securities, etc." in this Article)" shall be deemed to be replaced with "the conclusion of a specified insurance contract", the term "securities or derivative transaction (hereinafter referred to as "securities, etc." in this Article)" with "specified insurance contract," the term "customer (in the case where a Trust Company, etc. (meaning a trust company or financial institution that has obtained authorization under Article 1, paragraph (1) of the Act on Provision, etc. of Trust Business by Financial Institutions; the same shall apply hereinafter) conducts sales and purchase of Securities or Derivative Transactions for the account of the person who sets a trust under a trust contract, including said person who sets the trust; hereinafter the same shall apply in this Article)" with "the customer," the term "loss" with "loss (meaning, where the total amount of insurance premiums to be paid by the customer following the conclusion of the specified insurance contract exceeds the total amount of insurance claims, reimbursements and other benefits to be paid out to the customer following the conclusion of the contract, the total amount of premium payment subtracted by the total amount of insurance claims, reimbursements and other benefits; hereinafter the same shall apply in this Article)," and the term "to supplement" with "to supplement, outside the stipulations of the specified insurance contract"; in Article 39, paragraph (1), items (ii) and (iii) of that Act, the term "securities sales transaction, etc." shall be deemed to be replaced with "the conclusion of a specified insurance contract," the term "securities, etc." with "specified insurance contract," and the term "to add to" with "to add to, outside the stipulations of the specified insurance contract"; in Article 39, paragraph (2) of that Act, the term "securities sales transaction, etc." shall be deemed to be replaced with "the conclusion of a specified insurance contract"; in Article 39, paragraph (3) of that Act, the term "determined by a Cabinet Office Ordinance as a potential cause" shall be deemed to be replaced with "a potential cause"; in Article 40, item (i) of that Act, the term "financial instruments transaction business" with "the conclusion of a specified insurance contract, etc."; in Article 45, item (ii) of that Act, the term "Article 37-2 to 37-6 inclusive, Article 40-2, paragraph (4) and Article 43-4" shall be deemed to be replaced with "Articles 37-3 (as far as any of the matters listed in the items of Article 37-3, paragraph (1) is concerned, excluding Article 37-3, paragraph (1), items (ii) and (vi) and Article 37-3, paragraph (3)) and 37-4"; and any other necessary technical replacement of terms shall be specified by a Cabinet Order.
第三百条の二 金融商品取引法第三章第一節第五款(第三十四条の二第六項から第八項まで(特定投資家が特定投資家以外の顧客とみなされる場合)並びに第三十四条の三第五項及び第六項(特定投資家以外の顧客である法人が特定投資家とみなされる場合)を除く。)(特定投資家)及び第四十五条(第三号及び第四号を除く。)(雑則)の規定は保険会社等若しくは外国保険会社等又は保険仲立人が行う特定保険契約(金利、通貨の価格、同法第二条第十四項に規定する金融商品市場における相場その他の指標に係る変動により損失が生ずるおそれ(当該保険契約が締結されることにより顧客の支払うこととなる保険料の合計額が、当該保険契約が締結されることにより当該顧客の取得することとなる保険金、返戻金その他の給付金の合計額を上回ることとなるおそれをいう。)がある保険契約として内閣府令で定めるものをいう。以下この条において同じ。)又は顧客のために特定保険契約の締結の媒介を行うことを内容とする契約の締結について、同章第二節第一款(第三十五条から第三十六条の四まで(第一種金融商品取引業又は投資運用業を行う者の業務の範囲、第二種金融商品取引業又は投資助言・代理業のみを行う者の兼業の範囲、顧客に対する誠実義務、標識の掲示、名義貸しの禁止及び社債の管理の禁止等)、第三十七条第一項第二号(広告等の規制)、第三十七条の二(取引態様の事前明示義務)、第三十七条の三第一項第二号及び第六号並びに第三項(契約締結前の書面の交付)、第三十七条の五(保証金の受領に係る書面の交付)、第三十七条の六(書面による解除)、第三十八条第一号及び第二号並びに第三十八条の二(禁止行為)、第三十九条第三項ただし書及び第五項(損失補てん等の禁止)、第四十条の二(最良執行方針等)並びに第四十条の三(分別管理が確保されていない場合の売買等の禁止)を除く。)(通則)の規定は保険会社等、外国保険会社等、保険募集人又は保険仲立人が行う特定保険契約の締結又はその代理若しくは媒介について、それぞれ準用する。この場合において、これらの規定中「金融商品取引契約」とあるのは「特定保険契約等」と、「金融商品取引業」とあるのは「特定保険契約の締結又はその代理若しくは媒介の業務」と、同法第三十四条中「顧客を相手方とし、又は顧客のために金融商品取引行為(第二条第八項各号に掲げる行為をいう。以下同じ。)」とあるのは「特定保険契約(保険業法第三百条の二に規定する特定保険契約をいう。以下同じ。)又は顧客のために特定保険契約の締結の媒介」と、同法第三十七条第二項中「金融商品取引行為」とあるのは「特定保険契約の締結」と、同法第三十七条の三第一項中「締結しようとするとき」とあるのは「締結しようとするとき、又は特定保険契約の締結の代理若しくは媒介を行うとき」と、「次に掲げる事項」とあるのは「次に掲げる事項その他保険業法第三百条第一項第一号に規定する保険契約の契約条項のうち重要な事項」と、同項第一号中「金融商品取引業者等」とあるのは「特定保険契約等を締結する保険会社等(保険業法第二条の二第一項に規定する保険会社等をいう。)、外国保険会社等(同法第二条第七項に規定する外国保険会社等をいう。)又は保険仲立人(同条第二十五項に規定する保険仲立人をいう。)」と、同項第五号中「金融商品取引行為」とあるのは「特定保険契約の締結」と、同法第三十八条第一項中「使用人」とあるのは「使用人(保険募集人(保険業法第二条第二十三項に規定する保険募集人をいう。)を除く。第三十九条第三項において同じ。)」と、同法第三十九条第一項第一号中「有価証券の売買その他の取引(買戻価格があらかじめ定められている買戻条件付売買その他の政令で定める取引を除く。)又はデリバティブ取引(以下この条において「有価証券売買取引等」という。)」とあるのは「特定保険契約の締結」と、「有価証券又はデリバティブ取引(以下この条において「有価証券等」という。)」とあるのは「特定保険契約」と、「顧客(信託会社等(信託会社又は金融機関の信託業務の兼営等に関する法律第一条第一項の認可を受けた金融機関をいう。以下同じ。)が、信託契約に基づいて信託をする者の計算において、有価証券の売買又はデリバティブ取引を行う場合にあつては、当該信託をする者を含む。以下この条において同じ。)」とあるのは「顧客」と、「損失」とあるのは「損失(当該特定保険契約が締結されることにより顧客の支払う保険料の合計額が当該特定保険契約が締結されることにより当該顧客の取得する保険金、返戻金その他の給付金の合計額を上回る場合における当該保険料の合計額から当該保険金、返戻金その他の給付金の合計額を控除した金額をいう。以下この条において同じ。)」と、「補足するため」とあるのは「補足するため、当該特定保険契約によらないで」と、同項第二号及び第三号中「有価証券売買取引等」とあるのは「特定保険契約の締結」と、「有価証券等」とあるのは「特定保険契約」と、同項第二号中「追加するため」とあるのは「追加するため、当該特定保険契約によらないで」と、同項第三号中「追加するため、」とあるのは「追加するため、当該特定保険契約によらないで」と、同条第二項中「有価証券売買取引等」とあるのは「特定保険契約の締結」と、同条第三項中「原因となるものとして内閣府令で定めるもの」とあるのは「原因となるもの」と、同法第四十条第一号中「金融商品取引行為」とあるのは「特定保険契約等の締結」と、同法第四十五条第二号中「第三十七条の二から第三十七条の六まで、第四十条の二第四項及び第四十三条の四」とあるのは「第三十七条の三(第一項各号に掲げる事項に係る部分に限り、同項第二号及び第六号並びに第三項を除く。)及び第三十七条の四」と読み替えるものとするほか、必要な技術的読替えは、政令で定める。 - 日本法令外国語訳データベースシステム
(2) When an official leaves government position, upon the request of an appointer to be a national public servant in the special service, a local public officer, or an employee of a public financial corporation as provided for in Article 1 of the Act on Budget and Settlement of Public Financial Corporations (Act No. 99 of 1951), or any other juridical person provided for by rules of the National Personnel Authority among those whose business is related closely to national affairs or undertakings (hereinafter referred to as "a national public servant in the special service, etc." in this paragraph), and then, after holding office without interruption as a national public servant in the special service, etc., is employed without interruption as an official on premise of the said leaving of government position (including the case of an official who holds one or more offices without interruption as a national public servant in the special service, etc. after holding another office as a national public servant in the special service, etc., and then is employed as an official on the premise of the said leaving of government position), in the cases where, during the continuous period of holding office as an official up to the said leaving of government position (in the case of an official who leaves government position similarly (hereinafter referred to as "the previous leaving of government position" in this paragraph) before the said leaving of government position, holds office as a national public servant in the special service, etc., and is employed as an official, including the continuous period of holding office as an official up to the previous leaving of government position, hereinafter referred to as "the period of holding office before leaving of government position responding to the request" in this paragraph), he/she falls under any of the items in the preceding paragraph, any of the disciplinary actions provided for in the same paragraph may be taken. When an official who is employed pursuant to the provision of paragraph 1 of Article 81-4 or paragraph 1 of Article 81-5 falls under any of the items of the preceding paragraph during the continuous period of holding office as an official up to the day when he/she has become a person who has mandatorily retired, etc. (including the period of holding office before leaving of government position responding to the request), or the period that he/she has held office as an official after the employment pursuant to the provision of paragraph 1 of Article 81-4 or paragraph 1 of Article 81-5, the same shall apply as well.

Article 103 With regard to registration of a cooperative, etc., the provisions of Articles 2 to 5 (Registry Office and Registrar), Articles 7 to 15, Articles 17 to 23-2, Article 24 (excluding item (xv) and item (xvi)), Articles 25 to 27 (Registry, etc., General Rules on the Registration Procedure, and Prohibition of Registration of Identical Trade Names for Identical Office Addresses), Articles 48 to 53, Article 71, paragraph (1) and paragraph (3) (Registration of a Stock Company) and Articles 132 to 148 (Correction and Cancellation of Registration and Miscellaneous Provisions) of the Commercial Registration Act (Act No. 125 of 1963) shall apply mutatis mutandis; and with regard to registration of a cooperative, the provisions of Article 24 (limited to the portions pertaining to item (xv)) (Dismissal of Application), Article 45 (Registration of the Manager of a Company), Article 79, Article 82 and Article 83 (Registration of a Merger) of the same Act shall apply mutatis mutandis. In this case, the term "Corporate Reorganization Act (Act No. 154 of 2002)" in Article 12, paragraph (1) of the same Act shall be deemed to be replaced with "Act on Special Treatment of Corporate Reorganization Proceedings and Other Insolvency Proceedings of Financial Institutions (Act No. 95 of 1996)," the term "the items of Article 930, paragraph (2) of the Companies Act" in Article 48, paragraph (2) of the same Act shall be deemed to be replaced with "the items of Article 93, paragraph (2) of the Small and Medium-Sized Enterprise Cooperatives Act," the phrase "one who has become a liquidator of a liquidating stock company pursuant to the provisions of Article 478, paragraph (1), item (i) of the Companies Act (in the case prescribed in Article 483, paragraph (4) of the same Act, one who has become the representative liquidator of a liquidating stock company pursuant to the provisions of the same paragraph)" in the proviso to Article 71, paragraph (3) of the same Act shall be deemed to be replaced with "a liquidator under the provisions of the main clause of Article 82-14 of the Small and Medium-Sized Enterprise Cooperatives Act" with regard to an FSBA.

Article 49 (1) Where two or more buildings are combined into a single building, and if any of the following items applies, the person specified in each respective item shall, within one month from the date of such combination, file applications for a heading registration of a building relating to the building resulting from the combination and for cancellation of the registration of the heading section of a building relating to the buildings that existed prior to the combination (hereinafter collectively referred to as a "registration, etc. by reason of combination"). Article 34 When a Financial Instruments Business Operator, etc. (meaning Financial Instruments Business Operators or Registered Financial Institutions; the same shall apply hereinafter) has received an application for a contract to conduct Acts of Financial Instruments Transaction (meaning acts listed in the items of Article 2(8); the same shall apply hereinafter) with a customer as the other party or on behalf of a customer (hereinafter such contract shall be referred to as a "Contract for Financial Instruments Transaction") from a Professional Investor (limited to those listed in Article 2(31)(iv)), and has never concluded a Contract for Financial Instruments Transaction belonging to those specified by a Cabinet Office Ordinance as the same kind as the Contract for Financial Instruments Transaction pertaining to said application (hereinafter referred to as a "Kind of Contract" in this Subsection) with said Professional Investor, he/she shall notify said Professional Investor that said Professional Investor may make a request under the provisions of paragraph (1) of the following Article by the time of concluding a Contract for Financial Instruments Transaction pertaining to said application.
