企業法制については、既に独禁法改正による持株会社規定の改正（1997年）、商法改正による株式交換、株式移転制度の導入（1999年）、会社分割制度の導入（2001年）、金庫株の導入（2001年）等が実現したほか、昨年の臨時国会では、ストックオプション制度の拡充、株主総会運営等におけるＩＴの活用、代表訴訟制度の見直し等を含む商法改正が成立し、本年の通常国会では、会社の組織、計算・開示、株式制度に関する抜本的な商法改正案が提出されている。例文帳に追加
