With respect to any Partners who communicate their intention to receive the proceeds of disposition in accordance with (B) within [_] days from such request, the General Partner shall deliver such disposition proceeds by the date of the distribution in kind after the disposition of the Portfolio Securities at such time and price as the General Partners determines in its discretion (provided that, as a general rule, such price shall be the closing price (or an equivalent price) on any day during the period from the date such communication has been made through the date of distribution in kind).
